End-User License Agreement

PLEASE READ THIS END-USER LICENSE AGREEMENT CAREFULLY. BY DOWNLOADING, INSTALLING, ACCESSING OR USING ANY CAREPOOL APPLICATION, YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL OF ITS TERMS, DO NOT DOWNLOAD, INSTALL, ACCESS OR USE THE APPLICATION.

This End-User License Agreement (this "Agreement") is a legal agreement between you and CarePool Innovation Inc. ("CarePool," "we," "us" or "our"), located at 1801 California St, #2400, Denver, CO, 80202. It governs your use of CarePool's software, including the CarePool web application, the CarePool passenger and driver mobile applications, and any related integrations, updates and documentation (together, the "Application"). This Agreement supplements our Terms of Service and Privacy Policies, which are incorporated by reference. If this Agreement and the Terms of Service conflict regarding the Application, this Agreement controls.

SECTION 1 – LICENSE GRANT

Subject to your compliance with this Agreement, CarePool grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to download, install and use the Application on devices you own or control, solely to request, schedule, manage or provide transportation through CarePool services. This includes booking rides for yourself, for another person you are authorized to book for (such as a family member or a person in your care), on behalf of an organization that has authorized you, or, if you are a driver approved by CarePool, to provide rides.

SECTION 2 – RESTRICTIONS

You may not, and may not permit anyone else to: (a) copy, modify or create derivative works of the Application; (b) reverse engineer, decompile, disassemble or attempt to discover the source code of the Application, except to the extent applicable law expressly permits it; (c) rent, lease, lend, sell, sublicense, distribute or otherwise transfer the Application; (d) remove or alter any proprietary notices; (e) use the Application to build a competing product or service; (f) interfere with or circumvent the security, authentication or usage limits of the Application; or (g) use the Application for any unlawful purpose or in violation of our Terms of Service.

SECTION 3 – ACCOUNTS AND AUTHORIZED USE

Some features require an account. You are responsible for keeping your login credentials confidential and for all activity under your account. If you use the Application on behalf of an organization, you represent that you are authorized to bind that organization to this Agreement, and your access may be managed, limited or ended by that organization.

SECTION 4 – OWNERSHIP

The Application is licensed, not sold. CarePool and its licensors retain all right, title and interest in and to the Application, including all intellectual property rights. All CarePool trademarks, service marks, logos and trade names remain the property of CarePool Innovation Inc. No rights are granted except those expressly stated in this Agreement.

SECTION 5 – DATA AND PRIVACY

Your use of the Application is subject to our Privacy Policies, which describe the information we collect, including location data in the driver application, and how we use it. To the extent protected health information is used or disclosed through the Application, CarePool will handle it in accordance with HIPAA and its implementing regulations.

SECTION 6 – THIRD-PARTY SERVICES

The Application may connect to third-party services, such as mapping, payment, messaging or accounting providers. Your use of those services is governed by their own terms and privacy policies. CarePool is not responsible for third-party services and does not control their availability or content.

SECTION 7 – UPDATES

CarePool may provide updates, patches or new versions of the Application, and may require you to install them to continue using it. Updates are covered by this Agreement unless they come with separate terms. CarePool may also change, suspend or discontinue any feature of the Application at any time.

SECTION 8 – TERM AND TERMINATION

This Agreement remains in effect until terminated. You may terminate it at any time by deleting the Application and ceasing all use. CarePool may suspend or terminate your license immediately, without notice, if you breach this Agreement or the Terms of Service, or for any reason described in the Terms of Service. On termination, you must stop using and delete the Application. Sections 2, 4 and 9 through 14 survive termination.

SECTION 9 – DISCLAIMER OF WARRANTIES

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAREPOOL AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. CAREPOOL DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE. THE APPLICATION IS NOT AN EMERGENCY SERVICE; IN AN EMERGENCY, CALL 911.

SECTION 10 – LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAREPOOL AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, GOODWILL, USE OR DATA, ARISING OUT OF OR RELATED TO THE APPLICATION OR THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION IS IN ADDITION TO THE LIMITATIONS OF LIABILITY IN OUR TERMS OF SERVICE.

SECTION 11 – INDEMNITY

You agree to indemnify and hold harmless CarePool and its subsidiaries, affiliates, officers, employees, agents, partners and licensors from any claim or demand, including reasonable attorney fees, arising from your misuse of the Application or your breach of this Agreement.

SECTION 12 – EXPORT COMPLIANCE

The Application may be subject to United States export control laws. You represent that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. government list of prohibited or restricted parties. You will not export or use the Application in violation of these laws.

SECTION 13 – MOBILE APP STORE TERMS

If you obtained the Application from the Apple App Store or Google Play (each, an "App Store," operated by Apple Inc. or Google LLC, each an "App Store Provider"), the following also applies.

  • This Agreement is between you and CarePool only, not the App Store Provider. CarePool, not the App Store Provider, is solely responsible for the Application and its content.
  • Your license is limited to use on devices you own or control as permitted by the App Store's usage rules, except that the Application may be accessed by other accounts associated with you through Family Sharing or volume purchasing where the App Store allows it.
  • CarePool, not the App Store Provider, is solely responsible for providing maintenance and support for the Application. The App Store Provider has no obligation to furnish any maintenance or support.
  • If the Application fails to conform to any applicable warranty, you may notify the App Store Provider, and the App Store Provider will refund the purchase price, if any, for the Application. To the maximum extent permitted by law, the App Store Provider has no other warranty obligation regarding the Application, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to a warranty are CarePool's sole responsibility, to the extent not disclaimed in this Agreement.
  • CarePool, not the App Store Provider, is responsible for addressing any claims by you or a third party relating to the Application or your possession and use of it, including product liability claims, claims that the Application fails to conform to any applicable legal or regulatory requirement, and claims under consumer protection, privacy or similar laws.
  • If a third party claims that the Application or your possession and use of it infringes that third party's intellectual property rights, CarePool, not the App Store Provider, is solely responsible for the investigation, defense, settlement and discharge of that claim.
  • You must comply with applicable third-party terms, such as your wireless carrier's terms, when using the Application.
  • The App Store Provider and its subsidiaries are third-party beneficiaries of this Agreement. Once you accept this Agreement, the App Store Provider has the right, and is deemed to have accepted the right, to enforce this Agreement against you as a third-party beneficiary.

SECTION 14 – GENERAL

This Agreement is governed by the choice of law and forum provisions of our Terms of Service. If any provision of this Agreement is found invalid, the remaining provisions remain in full force and effect. Failure to enforce any provision is not a waiver. You may not assign this Agreement without CarePool's prior written consent; CarePool may assign it freely. CarePool may update this Agreement by posting a revised version on this page, and your continued use of the Application after an update constitutes acceptance.
